The Schneider Electric Shareholders’ Meeting of 3 May 2006 voted for transformation of the mode of governance by implementating a Supervisory Board and a Management Board, which separates the powers of management from those of supervision.

The Supervisory Board oversees efficient operation of the Company and reports to shareholders. This Board includes two special committees: the Remunerations, Appointments and Corporate Governance and the Audit Committees.

The Management Board is Schneider Electric’s decision-making body together with the Executive Commitee.
The General Management comprises 15 members.
